If a motion was made, seconded, and failed, but recorded as passed, and treated as though it passed, would a motion to ratify the previous motion be proper to approve the actions taken as a result of the motion being treated as though it passed. A quorum was present and a majority of the voting members present voted to adopt the motion, it was recorded as adopted. However, it was later discovered that the by-laws requires a 2/3 vote for passage. The motion was carried out as though it passed and the board now wants ratify the previous motion since it was discovered it actually failed and was not adopted. Is a motion to ratify proper in this situation?
