Our Bylaws call for a quorum of 7 directors and 1 presiding officer to have a quorum. We have several vacancies, a recent death and another member being incapacitated we don’t have the possibility of a quorum. Without the quorum we can’t elect new board members. With the proper procedure be a suspension of the rules in order to elect a new board member? Thanks
