Guest guest JRL Posted February 9, 2011 at 04:58 PM Report Share Posted February 9, 2011 at 04:58 PM We are a small board of directors of a national organization. Last year the 2010 board passed a disciplinary code and voted to reinstate a member who was removed from the board and the organization 6 years ago. We had elections recently and there are three new members on the board. These members were either on the board or related to others on the board 6 years ago. One of the new members was elected president. He wrote a letter to the member who was reinstated saying the the 2010 board violated the bylaws when they passed the ruling. The 2010 board had consulted a lawyer before reinstating the member so that is a lie. According to our Bylaws and SOPs the newly voted officers are not installed until the first board meeting. The letter was sent before the first board meeting and the "president" had a closed executive meeting(also before the first meeting). There have been other violations of the bylaws. My questions are, "Can we make a motion that this president step down from the office" and how do we address his violations in a PC way (if there is one)? thanks

Ask away. But he can refuse.Better to see FAQ #20.
