Guest john Posted March 9, 2011 at 12:16 AM Report Share Posted March 9, 2011 at 12:16 AM we have a nominating committee that selects the slate of candidates each year for our coop board. The coop Board consists of 15 members (5 members each serving 3 year terms) so every year there are 5 open spots. the nomination committee selects six candidates to be on the slate. The nomination committee consists of 6 shareholders and 1 current board member. This year however one of the members on the committee is a shareholder but also a paid employee of the coop. Is this ok or a conflict of interest having him serve on the committee? The board is responsible to oversee all management issues.
hmtcastle Posted March 9, 2011 at 12:23 AM Report Share Posted March 9, 2011 at 12:23 AM Is this ok or a conflict of interest having him serve on the committee?Nothing in RONR prevents an employee from being a member of the nominating committee. And you'll be doing yourself a favor by not referring to the report of the nominating committee as a "slate", as discussed in this recent topic. Thanks for correcting my words =)
hmtcastle Posted March 9, 2011 at 12:32 AM Report Share Posted March 9, 2011 at 12:32 AM prior to the annual shareholder vote independents can petition to be placed on the slate. There's the s-word again.Better to say, "independents can petition to be placed on the ballot".It may seem like a small point but the choice of words can influence how people think.
