revising by-laws

Our nonprofit sports and cheer leading program was started 3 years ago. When we initially started, we used by-laws of a prior organization to write our own. We made some revisions, but not all that needed to be done. We have since had several of the original board members leave. Our bylaws really need to be changed as quickly as possible. Do we have to wait to change them or can we change them now so that they will be more applicable to our organization.

Anything in your bylaws that is applicable to the prior organization might cause conflict or ambiguity with the content that is applicable to your organization, so getting it (the "old" stuff) out of there asap would be a good idea. It may not be a problem, but it might at the very least be confusing to the members. Anything applicable to your organization that is not in there should be added asap. You must follow the amendment process as defined in your bylaws (hoping it is not only clear but applicable).

In case you happened to have left out a bylaw section on amendment:

"The bylaws should always prescribe the procedure for their amendment, and such provision should always require at least that advance notice be given in a specified manner, and that the amendment be approved by a two thirds vote. If the bylaws contain no provision for their amendment, they can be amended at any business meeting by a two-thirds vote, provided that previous notice (see p 116) has been given; or, without notice, they can be amended at any regular meeting by vote of the majority of the entire membership." (RONR 10th Ed, p. 562 ll. 9-18)
