BOD meetings

Our BOD meets once a month, Pres. VP, Sect, Treas & 5 Board members. It has been the practice for many years the BOD meetings are closed to members of the Assoc. A member can attend the BOD, state his/her business then leave. The issue is put on the agenda, discussed and he/she is given the result the next day by the Pres. Now some members want to attend the BOD & stay for the entire meeting. 1} If this comes to be, can the Pres or the BOD itself call for an "Exec. Session" during the meeting and have the visitors leave? 2} Can the BOD call an Exec. Session of the BOD prior to our monthly BOD meeting to discuss how to handle our meeting with general membership in attendance? Can the general membership vote by show of hands to begin to attend the BOD meetings or is it up to the body that is currently meeting? Thanks much!

1. The board (but not any one member, not even the president) can invite or exclude some or all non-members (of the board) whether it's meeting in executive session or not (though going into executive session can be a handy tactic for clearing the room of guests).

2. The decision to go into executive session is made at the meeting but the board could, as a courtesy, notify non-members in advance that they won't be admitted. Note that RONR observes that many boards meet exclusively in executive session.

3. The general membership could adopt a rule requiring all meetings of the board be open to general members. But be careful what you wish for.
