taking minutes

The Secretary of our non-profit organization wishes to use a tape recorder to record our business meetings. I suspect that this is alright as long as the members approve of it's use? What does Robert say?

RONR says that a recording device can be helpful in the preparation of the minutes but that the recording (or a transcript thereof) should not be confused with the minutes. Your organization might also want to adopt a policy for the eventual destruction (or, worse, retention) of the "tapes" (or whatever storage device is used).

Will the members need to vote to approve the use of the recorder or do they simply need to be advised that it is in use?

I think the secretary could be permitted to use a recording device "without objection". Of course if there's any disagreement a vote would have to be taken. To put it another way, the secretary doesn't have a right to record the meeting.

But don't forget that retention/destruction policy. It could save a lot of trouble down the road. Just ask Richard Nixon.
