Our bylaws do not address phone. My belief is the quorum is established by the members physically present. Last evening a third BOD said they would not be available for the meeting. Can we cancel the meeting by giving notice to residents? (HOA) Or must the three members meet and adjourn to the next scheduled meeting? How must this be handled? Robert B Fish Posted August 9, 2011 at 03:01 AM Report Share Posted August 9, 2011 at 03:01 AM Once you give notice that a meeting will be held (either by virtue of it being a regular meeting or a properly called special meeting) there is no way to cancel the meeting unless your bylaws provide a mechanism to do that.However, you could let the possible attendees know that it's not expected that a quorum will be present and that you plan to adjourn the meeting immediately.You can have 2 members show up, call the meeting to order and adjourn. If needed they could also "set the time to which to adjourn" (call an adjourned meeting) during the inquorate session.
