Guest CPYC Posted September 10, 2011 at 08:26 PM Report Share Posted September 10, 2011 at 08:26 PM the by laws in my club state: questions may be decided in the following manner: by vote of record requested by a motion, duly seconded and approved by the majority of the regular members in good standing present at the meeting providing a quorum exists. My question is: if a quorum existed and there were 35 regular members, in good standing and one being the comodor, a motion was presented and seconded and went to a vote, 14 voted in favor, 11 voted against, 6 obstained, 4 didn't vote at all one being the comodore. Should the motion be passed?
Tim Wynn Posted September 10, 2011 at 09:01 PM Report Share Posted September 10, 2011 at 09:01 PM This would satisfy the requirement of a majority vote according to RONR, which is defined as a majority of members present AND voting. However, your bylaws appear to call for more than a majority vote. It appears you need more tha half of the members in attendance, no matter how many vote, but to ascertain the meaning of bylaws, they must be read in their entirety, which is beyond the scope of this forum. By the way, abstaining and not voting at all are the same thing.
