David A Foulkes Posted September 22, 2011 at 10:18 PM Report Share Posted September 22, 2011 at 10:18 PM A quorum is the minimum number of voting members (of the board, in this case) who must be present at a properly called meeting in order to conduct the business of the assembly. If the bylaws don't define how that number is calculated, according to RONR it is a majority (more than half) of the members (not the positions). In this circumstance, since there are four members, the quorum would be 3 members. If the bylaws or governing rules of the municipality dictate a different manner of calculating the quorum, you would need to abide by that.
