Guest Guildlady Posted January 6, 2012 at 10:33 AM Report Share Posted January 6, 2012 at 10:33 AM For a small non-profit organization, can the terms of office be amended in the By-Laws, i.e, going from a one year term to a two year term and having the officers be voted in in different years; President and Recording Secretary 2 year term voted in 2012; vice President and Treasurer 2 year term voted in 2013. David A Foulkes Posted January 6, 2012 at 11:26 AM Report Share Posted January 6, 2012 at 11:26 AM Nothing in RONR would prevent it. Just follow the procedure in your bylaws for amending your bylaws.

Trina Posted January 6, 2012 at 02:29 PM Report Share Posted January 6, 2012 at 02:29 PM For a small non-profit organization, can the terms of office be amended in the By-Laws, i.e, going from a one year term to a two year term and having the officers be voted in in different years; President and Recording Secretary 2 year term voted in 2012; vice President and Treasurer 2 year term voted in 2013.Sure, you can amend the bylaws in this manner, if that's what the organization wants. You will have to decide how to make the transition. Do you want the VP and treasurer elected in 2011 to simply continue until 2013 (are those individuals agreeable, since this would be a change from the terms of office they expected)? Or do you want their terms to end in 2012, and then elect a last set of one-year officers in 2012 to serve until 2013? Any transitional matters which arise in this way can be handled by means of one or more 'provisos' (see RONR 11th ed. pp. 597-598 for more information) which are adopted along with the bylaws amendment(s). Guest zUBdF P Posted January 6, 2012 at 07:31 PM Report Share Posted January 6, 2012 at 07:31 PM Thank you so much. This has been so helpful. I have someone telling me that this cannot be done and I wanted to make sure before the by-law committee met that we had our ducks in a row so to speak.
