Conflict of interest??

We have a trustee on our committee that is trying to unload a piece of property to our community and it affects other peoples property in a negative way. Would this constitute a conflict of interest. We would like to stop this from happening and most of the paperwork has already been approved. And it will be pushed through at the next meeting. They have also not sent out any information to members on this special meeting they have conducted. As stated in the by-laws a majority of the trustees constitutes a quarum for any business and they have been able to pull off many dishonest things in our community.What immediate steps can we take at the next meeting that would stop this from happening before it is finalized. According to RONR, except for matters placed by the bylaws exclusively under the control of the board, the assembly of the society can give the board instructions that it must follow. In any event, no action of the board can conflict with any decision made by the assembly of the society.

So, unless your governing documents say otherwise, the assembly of the society (the members in a meeting) can make the decision, thereby taking it out of the hands of the board.
