We have an appointed nominating committee and the elections each Fall. The President of our League just died. The Vice President is willing to assume the duties of the President. Do we appoint a Vice President, nominate from the floor and elect or what? Our bylaws state simply that all areas not covered by our bylaws are ruled by Robert's. Thank you for your help. It's nice that the VP is 'willing to assume the duties of the President', but -- willing or not -- the VP automatically becomes President in this situation (absent anything to the contrary in the bylaws).If the bylaws are silent on filling vacancies, you should hold an election (with notice) to fill the vacant office.If you happen to have a Board (your post mentions nothing about a Board) with full authority over the League's affairs between meetings of the general membership, then such a Board would have the authority to fill the vacancy.
