Our Board is charged in the Bylaws to hold discipliary hearings, and we have a Conflict of interest policy, but that really covers financial gain. It does say that a member who has a personal or pecuniary interest not in common with others should refrain from voting, but can not be compelled to do so. (RONR 11th Ed. p. 407 ll. 21-31) Whether this applies to this member's parents is something your organization will have to determine, but remember that they can not be compelled to refrain from voting.
