Guest Pat Bowen Posted April 23, 2012 at 11:42 PM Report Share Posted April 23, 2012 at 11:42 PM Our Treasurer is not able to continue her duties and wishes to resign. Do we need to hold a new election or can an existing officer take on her duties til the end of term?
Robert B Fish Posted April 24, 2012 at 12:40 AM Report Share Posted April 24, 2012 at 12:40 AM Check your bylaws and follow those procedures for filling a vacancy. If your bylaws do not say anything about that, you must hold a special election for the unexpired term.-Bob
Trina Posted April 24, 2012 at 11:37 AM Report Share Posted April 24, 2012 at 11:37 AM Also, note the new language in RONR 11:'In the case of a society whose bylaws confer upon its executive board full power and authority over the society's affairs between meetings of the society's assembly without reserving to the society itself the exclusive right to fill vacancies, the executive board is empowered to accept resignations and fill vacancies between meetings of the society's assembly.'
