How to form a executive committee

Here is our situation. Our non-profit was in serious financial struggles. So we formed a finance committee to watch every dollar and try to save the organization. The committe had the President of the company, the Chairman of the board, the bookkeeper and the store manager. Everyone in this group is a member of the board. The committee was able to pull the company out of debit and now we want to look forward. Everyone on the committe EXCEPT the President wants to change the company to committee ran instead of the President making all choices. We were thinking that we could make an executive committee and do this. We presented the idea at the last board meeting. The board members ask for a propsal to see what it would look like and of course the President wants no part of this plan. One of our main snags is that the bookkeeper and store manager are board members. This is an issue for the President as he feels like he is their boss but as board members they feel like they have a higher obligation to see that things are done right on a day to day basis. Is the President their boss? This is a big issuse. Thanks for any input.

The board and the officers have the duties and the authority given to them in the bylaws. If you wish to change the structure, amend the bylaws accordingly.

Along, the same lines, look at your current bylaws to see if they actually authorize the President to 'make all choices' and to be the 'boss' of the bookkeeper and store manager. Those are not powers that automatically fall in the President's lap just by virtue of being President.
