What is the proper way the board should accept it? Should it be put on a meeting agenda and motioned to accept? There can be a motion or the chair can assume the motion and, after any debate, it should be put to a vote, or it could be settled by unanimous consent. If there might also be a conflict of interest should that person leave the room when this topic is discussed? TYRONR doesn't require such a thing, and I wouldn't recommend it.
