Guest Jim Posted July 17, 2012 at 01:37 AM Report Share Posted July 17, 2012 at 01:37 AM Can a board member vote if a motion to remove from the board is made and seconded? Our bylaws are silent on this issue. Does this usually require a 2/3 vote or just majority? Any advise would be appreciated. Thanks.
Guest Edgar Posted July 17, 2012 at 01:44 AM Report Share Posted July 17, 2012 at 01:44 AM Our bylaws are silent on this issue. How silent?Do they give the board the authority to remove one its members simply by adopting a motion to do so? If not, it can't.

Thanks. It's not possible to answer your questions based upon the facts provided. Please provide the following information:Who appointed/elected the board member to his position (general membership, board, president, etc.)?Do your Bylaws contain their own process for removal?Do your Bylaws contain language to the effect of "or until their successors are elected" or contain other wording explicitly indicating that the board member may be removed before his term expires?
