One new board member could not attend the election meeting. Our board normally votes among themselves to assign who will fill the normal positions of pres, vp, trea. and secretary. Since one bod member was not present can this discussion and assignment take place without all 5 present?Unless your rules provide otherwise, the board may conduct its business so long as a quorum is present. You will have to check your Bylaws to be sure, but I imagine that four meets the quorum requirement for a board of five.
