Sean Hunt Posted August 16, 2012 at 11:52 PM Report Share Posted August 16, 2012 at 11:52 PM If a society's bylaws give full power and authority to an executive board in between meetings, does this include the power to discipline, including expulsion, if there is no other mention of discipline and thus Chapter XX would be used? Sean Hunt Posted August 17, 2012 at 03:30 PM Author Report Share Posted August 17, 2012 at 03:30 PM My closest reading, having looked, would be that the board can run the investigation, but the actual finding of guilt and penalty, if any, must be handled by the assembly. Burke Balch Posted August 18, 2012 at 11:06 PM Report Share Posted August 18, 2012 at 11:06 PM Presumably the question raised in this thread is intended to discus only discipline for conduct (or neglect of duty) outside of board meetings. Of course, RONR (11th ed.) p. 486, ll. 19-25 is explicit in describing what power a board has to discipline for breaches of order during board meetings.
