Closed Board Meetings And Board Meetings Held By Email

We have a board of directors that is holding what appears to be closed board meetings by using emails to do board business without informing or allowing any homeowners participation.

What are the Roberts' Rules Of Order for Closed Board Meetings or Board Meeting that are held by emails?

Check your bylaws and other homeowner association documents (with a homeowners association there are often multiple documents involved) and applicable statutes very closely. Generally, if "Robert's" controls there needs to be some sort of bylaw or superior rule or statute that provides for doing business in the manner you have described. You may need to check with a lawyer.

1. Only members of the board have a right to attend board meetings. Others may be invited as the board wishes.

2. All meetings are "in-person" meetings.

Those are Robert's Rules. As Mr. Britton notes, your rules may vary.

And as far as meeting in closed session, the only requirement according to Robert's is a motion to enter the closed session.

Though the board can "close" the meeting (to non-members of the board) without going into executive session (and the board can invite non-members to attend the executive session).
