Guest RLECATS Posted September 17, 2012 at 07:57 PM Report Share Posted September 17, 2012 at 07:57 PM A local chapter amended its bylaws in May 2011; however, due to poor leadership, the minutes that should reflect this action cannot be located. A new administration has since been elected, and the president is questioning the validity of the amendments. Are the 2011 amendments legal if there is no record found of their adoption?Thank you --
Guest Edgar Posted September 17, 2012 at 08:02 PM Report Share Posted September 17, 2012 at 08:02 PM Are the 2011 amendments legal if there is no record found of their adoption?Well, they're as "legal" as they'd be if there was a record. And those missing minutes should be reconstructed as soon as possible.Look at it this way, motions adopted at the August meeting are valid even if the minutes of that meeting are waiting to be approved at the September meeting. In the future, you might want to distribute (and/or post online) the draft minutes as well as the approved minutes. The more people that have a copy, the less chance they'll be "lost". This would be especially important with such an important document as the bylaws. Whether or not the motions were properly adopted is a different question.
