It depends on what your Bylaws say.thers no answer in the by laws.noone is interested.Well, actually there is, but the answer may not be obvious. Take a look at where the term of office is defined in your Bylaws. If it says something like "The officers shall serve for two years or [or "and"] until their successors are elected," then yes, she is still Secretary. On the other hand, if it says "The officers shall serve for two years," and that's it, then she is no longer the Secretary.Of course, if no one else is interested, it shouldn't make much difference. In any event, you have an incomplete election for the office of Secretary, which should be completed as soon as possible.
