What constitutes an executive Board?

In a club with A President, Vice President, Treasurer, Recording Secretary, Corresponding Secretary, and seven Board members,

what part of these constitutes the "Executive Board?"

Well, the board members are certainly part of the (executive?) board but the other members are only board members if your bylaws say they are. If you have a Board of Directors then the board members are Directors. If you have a Board of Trustees then the board members are Trustees. You can have a board without it being called an "Executive" Board.

You may be thinking of an executive committee (which RONR describes as "a board within a board") but you don't have one of those unless your bylaws say you do.

So what do your bylaws say about who is on your board?

Our By-Laws say we have Officers,(President, Vice President, Treasurer, Corresponding Seretary, and Recording Secretary) and the Board of Governors,

which consists of seven people. We were recently told that a decision concerning changing a meeting date was made by "The Executive Board?"

We are confused as to who the 'Executive Board" consists of.There is no mention of an Executive Board in our By-laws.

Well, I suspect whoever referred to your "executive board" simply mis-spoke and meant your board (of governors) since it appears that's all you have.

And, from what you've said (but not having seen your bylaws), I'd say that your officers are not automatically (i.e. ex officio) members of your board though any one of them (or all of them) could also be board members (e.g the same person could be both the treasurer and a member of the board but he would not be a member of the board because he was the treasurer, he would be a member of the board because he was elected (or appointed) to that position in addition to having been elected (or appointed) to the office of treasurer).

And by the way, if that meeting date was defined in your bylaws, it's very unlikely that your board had the authority to change it. But that's another question.
