resignation of president and procedures for vP

Our by laws do not mention the resignation of the president and what is to happen regarding the VP's role. The president resigned from the office and from the board at the same time. Should the VP step in to the office and serve as interim pres. and have an election at the end of the term?

No. If your bylaws do not address specifically the filling of a mid-term presidential vacancy, the vice president becomes the president upon the acceptance of the latter's resignation. There is then a vacancy in the office of VP. Your bylaws may address vacancy filling procedures in general, which may apply, or the general membership may need to be gathered for a special election to elect a new VP.

thanks. there is not mention of vacancy filling procedures for VP or any other office either. the pres. (previous vp) agrees with your assesment but is also unsure about either appoiting or having the board vote on a new vp. our board of dir. votes on officers and not the membership.

Then your board should select a new vice-president in the same way it usually does.

Curious.... I would make the assumption (dangerous though that always be) that the officers are elected from the Board membership. This may even be in the bylaws, although who can know? If such a requirement exists, must the vacancy-filling VP come from the existing board membership then, and there would still be a vacancy on the board that can only be filled through a special election by the general membership?

officers are elected from the board members, by the board members. We do have a provision for filling an open spot on the board. the person with the next highest number of votes in the previous election. that person has joined the board now. we have the correct number of directors. we need now to have the vp spot filled . I assume through another election within the board.

A final question about this issue, does the board need to vote to accept the resignation of the pres from the office and the board? She was not asked to step down from the board and it does not seem like there is anything to vote on. The VP (interim Pres.) accepted the resignation already.

Yes.

There is, although if the rest of the board members feel the same as you it should just be a formality (as it usually is).

The VP (interim Pres.) accepted the resignation already.

The VP doesn't have the authority to do this. And you should get over this notion of an "interim" President. Until the resignation is accepted, the VP is the Vice President, and when it's been accepted, the VP becomes the President.
