Our bylaws are silent to vacancies in elected offices. The person running for secretary is not eligible. What happens if we vote to reopen nominations and we don't get a majority vote? Can the President or the Executive Board appoint a secretary? While our bylaws are silent to vacancies, it does refer to secretary as an elected office. We need a secretary. What do we do? I can't seem to find anything relating to appointments of an elected office in RONR. Our bylaws are also silent to appointments of elected officers by the President of Executive Board. Help!

Well, I can't imagine why members would vote against reopening nominations in this scenario, but I suppose stranger things have happened. In any event, members are free to cast write-in votes for any eligible person. So just like with any other case, keep voting until one candidate obtains a majority and doesn't decline the office.

No.

While our bylaws are silent to vacancies, it does refer to secretary as an elected office. We need a secretary. What do we do?

Elect a Secretary. If you fail to complete the election at that meeting, set up an adjourned meeting and postpone the election to the adjourned meeting, and then keep voting.

If this takes a while, you'll need to find some solution for the meantime. If your Bylaws provide that officers serve "until their successors are elected," then the current Secretary continues in office until you elect a new Secretary or he resigns. If your Bylaws don't have that provision (or your Secretary resigns), you can elect a Secretary Pro Tempore at the beginning of each meeting until you find a permanent Secretary,

You can't find anything about appointing someone to an elected office in RONR because it isn't there. Since your Bylaws are also silent on this topic, the only solution is to elect a Secretary.

Just to add one clarification, if the office of secretary is now (or soon will be) up for election and no eligible person is elected, you don't have (in RONR terms) a vacancy. You have what would be termed an incomplete election. A "vacancy" arises when an officer leaves his or her position before the term of office is up. Sometimes the bylaws do provide for vacancy-filling provisions, which might (as an example) authorize the President or Board to appoint a successor, although this is not the case here as you've stated. For an incomplete election, the only other resolution is to complete the normal election process. So, make plans accordingly, as Mr. Martin has detailed above.
