Dan Honemann Posted February 17, 2013 at 11:55 AM Report Share Posted February 17, 2013 at 11:55 AM Some boards are prohibited from having "a lot of board members in the same place at the same time"...unless it's a meeting. But the point is, there is no such prohibition in Robert's Rules of Order. Josh Martin Posted February 17, 2013 at 03:56 PM Report Share Posted February 17, 2013 at 03:56 PM My questions are similar, but the latter is meant to hone in on the point, does a gathering of the majority of members constitute a meeting? So far as RONR is concerned, only if it is a properly called meeting.Suppose all the members gathered at McDonald's for lunch--and did not intend to discuss and did not discuss any business--do there bylaws or some other applicable authority see this as a meeting, by virtue of the fact that a majority was present?Maybe, but that's beyond the scope of RONR and this forum. If it's in their own rules, the society will have to interpret its rules and see RONR, 11th ed., pgs. 588-591 for some Principles of Interpretation. If it's a rule in applicable law, they'll need to consult a lawyer.
