Guest Margaret Posted September 12, 2017 at 03:29 PM Report Share Posted September 12, 2017 at 03:29 PM We are about to hold our AGM. The question is - we have 5 vacancies on our board of directors. Our bylaws require us to hold a ballot vote to elect directors, however, if we have five or fewer nominations, do we still need to hold the ballot? Thank you. "When the bylaws require a vote to be taken by ballot, this requirement cannot be suspended, even by a unanimous vote."
