Guest Karen Posted October 9, 2017 at 08:07 PM Report Share Posted October 9, 2017 at 08:07 PM My nonprofit wants to approve motions for small amounts of monies (no more than $50) via email due to the fact that getting a quorum is often difficult and our meetings are often long in-between. If we write this into our bylaws, is this legal?
Chris Harrison Posted October 9, 2017 at 08:17 PM Report Share Posted October 9, 2017 at 08:17 PM As far as RONR is concerned it is permitted provided it is authorized in the bylaws (RONR pp. 423-424). However, check any laws applicable to the nonprofit to make sure there aren't any issues there.

I concur with Mr. Harrison, but I would add that if it is often difficult to get a quorum at meetings, it may also be advisable to amend the bylaws to reduce the quorum requirement.
