The President of our Social organization wants to hold Executive Session meetings to set agendas for General Meetings, and to discuss items that might be upsetting to general members. RONR places no limitations on what may be discussed in executive session. So the board (I assume?) is free to hold portions of its meetings in executive session to discuss items that might be upsetting to general members if it wishes to do so. The President may not make this decision on his own. As to the other matter, unless your rules provide otherwise, the general membership determines the agenda for its own meetings. So unless the bylaws grant the board this authority, the board cannot set such agendas, whether or not the board is meeting in executive session. Finally, certain organizations, particularly public bodies and HOAs, are often subject to state law limiting the items which may be discussed in executive session.
