Guest Jerry Posted March 24, 2020 at 05:44 PM Report Share Posted March 24, 2020 at 05:44 PM We have 3 Directors who's terms expire 31 May, 2020, we have set an Annual Meeting for 27 April to elect replacements or to approve incumbents but we may have to cancel that meeting due to the current pandemic. We currently have 9 Directors on our Board and our By-Laws state that we can have no fewer than 3. If we are unable to hold our meeting at the prescribed time and those Directors' terms expire, does the Board function with only 6 until we can hold a general election or do those 3 remain on the Board until we hold the general election.
