If 3 resigned because crazy things the other 4 are doing that leaves 4 board members . That means they do not meet the quota for a quorum can they ask one to rescind his resignation until they add a new person . When you create your new topic, please clarify the following information so we can provide fully informed answers to your questions: What exactly do the bylaws say regarding quorum for the board? What do your bylaws say regarding filling vacancies? If they are silent on that subject, do they include a clause granting the board full power and authority to act for the society between meetings of the society's membership?
