Replacing a board member

If a board member resigns from her position, and the board has accepted her resignation, can she vote on who replaces her?

If the resignation has already been accepted, then the resignation takes effect immediately (unless it provides otherwise) and the individual in question is no longer a board member. As a result, she would not be able to vote on anything.

In the event that the resignation provides that it is not effective until a future date, then the individual would remain a board member and could vote on all matters before the board up until the resignation becomes effective, including her own replacement.
