Tomm Posted August 17, 2021 at 02:51 AM Report Share Posted August 17, 2021 at 02:51 AM If I remember correctly, isn't there something about certain decisions made by a board must be approved by the members/membership? Where can I find that in RONR?

Where can I find that in RONR? The cases in which a decision made by a board would need to be approved by the membership would be 1) if the organization's rules say so, or 2) if the board takes action exceeding its authority, in which case it would need to be ratified by the membership. The first one would be in your rules and the second is discussed in RONR, 12th ed., 10:54-57.
Tomm Posted August 17, 2021 at 01:41 PM Author Report Share Posted August 17, 2021 at 01:41 PM Could you better explain 49:7 please? "...no action of the board can alter or conflict with any decision made by the assembly of the society, and any such action of the board is null and void." Atul Kapur Posted August 17, 2021 at 01:54 PM Report Share Posted August 17, 2021 at 01:54 PM That refers to decisions or actions that the assembly has already taken. If the assembly has not done either on a specific topic and the action proposed on this topic is within the powers of the board, then the board is free to act. Have you read it?
