We have an executive committee of 6 members with three year alternating terms (meaning two people go off and come on each year).  Two of the members have resigned mid-term.  Does their resignation cause our quorum to change to three instead of 4?

The general answer is that you now appear to have four members and two vacancies. A quorum would be three. But you need to check to see if there is anything in bylaws or law that changes that answer.

What, exactly, do your bylaws say about quorum of this body? If nothing, what do your bylaws say at all about quorum? Is there any law that applies to this organization?
