We do have a Vice-Chair who can run the meeting and initiate a vote for a new Chairman. However, say the Vice-Chair can't make the next meeting, who would you recommend open the meeting initially before a vote to replace the Chairman. Gary Novosielski Posted October 10, 2023 at 01:07 PM Report Share Posted October 10, 2023 at 01:07 PM (edited) Your question actually has two separate parts: If your Chairman/Vice-Chair relationship is different from a typical President/Vice-President relationship in name only, then your Vice-Chair has already become Chairman of the Board, and the vacancy that needs to be filled is in the office of Vice-Chair. When both the primary and vice-primary officers of any assembly are both absent, the secretary (or in the secretary's absence, any member) calls the meeting to order and immediately holds an election for a president pro-tempore to preside for that meeting. If the secretary is also absent, the president pro-tem, as a first item of business holds an election for a secretary pro-tem.
