The annual meeting takes place whenever the bylaws say it takes place. It is, typically, just one of several (monthly? quarterly?) regular meetings, but it's the one where elections are held and annual reports are given.

At our April annual meeting we had two directors to replace. Only one (new) received the proper affirmative vote. The other, who decided not to leave, was not voted upon. Isn't this vote necessary for both directors, even the one already on the board prev"

Yes. If your bylaws require a ballot vote then you must have one.

However, if they don't, and if there is only one nominee for a particular office (or only two nominees for two identical offices), the chair can simply declare the sole nominee(s) "

The Bylaws say: "

The Annual Meeting shall be held during the month of June. Members will be notified

of the date of the Annual Meeting 3 weeks in advance of the meeting date. A quorum shall

constitute 2/3 of members in attendance."

Well, I don't see any problem. Yet.

But keep a close eye on that quorum requirement. In a small organization, where nine of the eleven members serve on the board, a quorum requirement of two-thirds of the membership might be reasonable.
