Emergency meeting - vote overturned

At a recent PAC meeting a motion to accept a new program for the school was voted on and approved. Two weeks after this meeting an "emergency meeting" was held without any formal notification and was by special invite only where this same motion was voted down. This resulted in this program not being approved, ( overturning the original "in favour of vote".

Can a select group of executives call a meeting behind closed doors and overturn a vote on their on?

As well, the secretary disseminated the minutes after the intial PAC meeting without going through the process of calling for ammendments or adoption at the next executive meeting. My understanding is that the minutes are not made public until they have been approved by the board.

In addition to what the others have said, it is worth noting that the actions of the 'emergency meeting' are probably null and void if the rights of absentees were violated (which is what appears to have happened from your description). All members of the body must be notified of meetings; 'special invitation only' meetings are not valid under RONR.
