Policy's within bylaws

About 50% of the bylaws by line count are policy's, like 40 pages all toll

Example

Bylaw

Conflict of Interest Policy: No transactions or arrangements will be entered into that would result in a

violation of the Conflict of Interest Policy. All officers or directors/trustees are required to read and

comply with policy (Appendix xx).

Policy

Financial Management

1.

All monies collected by the xxx. shall be deposited in a checking account in the name of xxx"

at a depository designated by the Board of Trustees. Deposits shall be made weekly unless the

cash exceeds $100.00 or, in the judgment of the Administrator/Manager, the deposits should be

made more frequently. Un-deposited checks should be stamped with the club endorsement "For

Deposit Only"

I don't see a need or is there a requirement that policy's be included.

Should be there

Should they be in another booklet

Should they deleted

Such policies (which appear to be in the nature of standing rules) should be kept in the same booklet as the Bylaws for convenience, but under a separate heading so that it is clear that they are not part of the Bylaws.

Although depending on what's included in that "conflict of interest" policy, that one might need to be incorporated in the Bylaws - for instance, if it has rules which prohibit members from voting on motions in which they have a "conflict of interest."
