An annual membership meeting votes in favor of moving forward with a capital expense for property improvement, subject to By-law requirements for final membership approval. A Board appointed project committee seeks permits,contractor bids and constant Board review to a point where funding must be obtained. A Board motion made,second and majority vote in favor by email for a project finance committee directive that is later challenged by one rogue Board member. All forms of absentee voting (e.g. by e-mail) are prohibited unless specifically authorized by your bylaws.And the action of a committee is not the action of the board.
