Guest jeff Posted October 19, 2010 at 12:22 PM Report Share Posted October 19, 2010 at 12:22 PM Our by-laws do not address changing of the by-laws. A motion was made to change the by-laws and voted on at a regular meeting. Seems like all members should be notified of proposed changes before a vote was takem. Does RR address a procedure for changing the by-laws
hmtcastle Posted October 19, 2010 at 12:31 PM Report Share Posted October 19, 2010 at 12:31 PM Does RR address a procedure for changing the by-lawsYes, it's a special instance of a motion to amend something previously adopted (ASPA). If previous notice is given, a two-thirds vote is required. Without previous notice, a vote of a majority of the entire membership is required.See p.562. Does RR address a procedure for changing the by-lawsYes, if they contain no provision for their amendment, the bylaws can be amended at any business meeting by a two-thirds vote, provided that previous notice has been given. See RONR(10th ed.), p. 116 for details of "previous notice."
