Minutes of Exectutive Session

How detailed does the action taken in Executive Session have to be described in the minutes that are available for the general membership to read? If the Board meets in executive session to discuss something of a sensitive nature, can it just be stated that we voted to take action on the "issue discussed", or do we have to specify the issue discussed?

The minutes of meetings (or portions thereof) held in executive session should be no more and no less detailed than the minutes of any other meeting. You record what was done (e.g. motions made), not what was said (e.g. debate). So you might only record that the board entered into executive session at 7:15 and emerged at 8:00.

Note, too, that the minutes of board meetings (whether held in executive session or not) are not available for individual general members to read but the general membership can order the minutes of board meetings be read at a meeting of the general membership.

Q. Whose minutes (of this executive session)?

• minutes of the general membership?

• minutes from a separate committee or board?

Are you asking about minutes?

Minutes MUST include the exact language of all main motions. No paraphrase.

What you tell (lie?) to others isn't a question about Robert's Rules of Order.
