Board Resignation & Return

If a person has served on a Board and has done no wrong and resigns and no replacement has been made, can that person request to be reinstated and does it take Board approval for reinstatement or would the reinstatement be automatic?

If the resignation has not been accepted, yet, it can be withdrawn. If it has been accepted, and the member in question has learned of this, it cannot be reversed. However, the appointing power (regarding the vacancy) is free to appoint any eligible person to the position, including the one who resigned.

I've been under the impression that if the bylaws don't address filling vacancies (who can do it, and how, etc), then a special election would need to be held in such a case. Yes/no?

Perhaps Dale Rogers' bylaws do include such mention, but just in case......

Yes, the assembly would fill the vacancy upon accepting the resignation, since the resignation would be accepted by the appointing power. However, if it is a resignation from office, notice is required to fill the vacancy. If, on the other hand, a single person appoints the position, no election would be involved.
