Is a Board of Directors Member (Board Member) also an OFFICER of the Corporation?

Can the President of a Corp. also be on the Board of Directors? (Voting Member?)

While RONR advises classifying the directors as officers, it's not automatic (i.e. check your bylaws).

Nothing in RONR prevents a president from being a member of the board.

Questions about corporation law should be directed to an attorney.

If the President Elect of a State Orgainzation resigned can the Conference Coordinator who is to become Presient Elect be appointed by the President of said orgainzation appoint her to also serve both positions? These are one year consecutive terms. CJ

Only if your bylaws give your president the authority to make that appointment. But nothing in RONR prohibits a conference coordinator from serving as president-elect.

There is no limit to the number of offices a single person can hold.
