Tom O. Posted April 12, 2017 at 03:13 PM Report Share Posted April 12, 2017 at 03:13 PM A member of our board of directors has resigned. Our Constitution and Bylaws allow for the position to be filled until the next election by the BOD. There are four members that want to be considered for the position. What is the procedure for choosing the one out of the four wanting the position. Can each of the current board members be asked to vote for their choice and the top choice of the four be the winner. If so what happens if there is a tie between the top vote getters? The President of our BOD never votes except in issues with a tie vote, can he break the tie vote? Hieu H. Huynh Posted April 12, 2017 at 05:10 PM Report Share Posted April 12, 2017 at 05:10 PM Hold an election. The person with a majority vote is elected. In a ballot vote, the president could vote along with other members.

It's not just the top choice, if you mean the candidate with the most votes. You elect the candidate who receives more than half (a majority) of all votes cast. If no one has that many votes, then you vote again until a candidate gets a majority.
