Guest Lisa Posted February 27, 2013 at 08:35 PM Report Share Posted February 27, 2013 at 08:35 PM We had a Club member ask the following question regarding our Club Constitution:"under which Article & Section it is stated that the responsibility of enacting Policies & Procedures is entrusted to the Board".Our Constitution says, "Section 1Board of Directors. ................. General management of the club’s affairs shall be entrusted to the Board of Directors. Therefore when the Board votes to approve a motion does that not then become either a policy or procedure of the Club? jstackpo Posted February 27, 2013 at 08:52 PM Report Share Posted February 27, 2013 at 08:52 PM We are not in a position to attempt to interpret bylaws here - RONR is quite enough, thank you - and your provision doesn't match either of the two "sample" provisions in RONR: p. 578 for a "strong" board, and p. 586 for a "just keep things going" board. If you, collectively, figure out what your bylaw "really" means -- see p. 588 for help in that respect -- you might want to amend your bylaws to "fit" better. Guest Edgar Posted February 27, 2013 at 09:32 PM Report Share Posted February 27, 2013 at 09:32 PM Therefore when the Board votes to approve a motion does that not then become either a policy or procedure of the Club?If a board is authorized to act on behalf of the organization between meetings of the general membership, I think it's safe to say that any proper act of the board can be taken as an act of the organization. But see also Official Interpretations 2006-12 and 2006-13.
jstackpo Posted February 27, 2013 at 09:37 PM Report Share Posted February 27, 2013 at 09:37 PM But the "between meetings" phrase wasn't in what was quoted, which is what left me declining to say much of anything.
David A Foulkes Posted February 27, 2013 at 09:44 PM Report Share Posted February 27, 2013 at 09:44 PM I also don't think that because the Board adopts a motion, it has set a policy or procedure. It may be, and often would be I suspect, simply a decision to take an action, with no long lasting enforceable policy or procedure enacted.
