I live in New York State. my organization needs to amend the last section on amending the but the section reads as follows: These by-laws may be amended, repealed or otherwise altered by a two-thirds (2/3) majority of the membership entitled to vote at any Regular Meeting or at any special meeting called for that purpose. The notice of any meeting at which an amendment or repeal of these by-laws is to be proposed shall contain the proposed text of any such amendment or repeal. my concern is that, if i interpret this correctly i need 2/3 of my members who can vote to be present and then 2/3 need to be affirmative to make action? Or is it meaning that tw0-thirds of who are present and can vote must be in favor to adopt? Since it doenst say we cannot suspend them, can we? no where else in the by-laws does it allow to suspend the by-laws but also no where does it say we can not? another consideration we looked at is that our membership meetings are classified as Annual and special, and only board meetings are referred to as Regular or special? our issue is being able to get 2/3 membership to show up if that is the case.
