removal of officer before term over

Have read FAQ #20, but still confused due to some information on other postings.

We have the "OR" in our bylaws which would allow the rescinding of the officers election, but our bylaws state that an officer may be removed by a majority vote at any regular or special meeting in which there is a quorum present. QUESTION: Must we follow the latter (removal by majority vote) or are we still within proper procedure to rescind the election if we so choose ? Does the word MAY allow for more flexibility than if it said SHALL ?

If the bylaws specify a procedure for removing officers you would follow that. The and/or rule is only if there is no provision in the bylaws for removing officers. As for your 2nd question it is up to you all to interpret the bylaws (see RONR pp. 570-573) but the definitions of the two words would seem to provide the answer in of themselves.
