Guest Wilbur Wright Posted February 23, 2011 at 08:45 PM Report Share Posted February 23, 2011 at 08:45 PM A motion was made and seconded from the floor (at a general membership meeting) that an executive meeting be held to address a question of procedure not contained in our by-laws. The meeting was held with a majority in attendence , a vote was taken to keep the procedure as is and to present the results to members at the next scheduled meeting. was it required to notify the membership of the executive meeting in advance,Do we have to notify the membership of all executive meetings regardless of subject ? jstackpo Posted February 23, 2011 at 08:56 PM Report Share Posted February 23, 2011 at 08:56 PM I can't say for sure without reading your bylaws, but the Executive Board(?) is a separate entity from the general membership (although, of course, the Board is "under" the GenMems). If the Board has the bylaw-given authority to make the decisions you describe, then there is no need to tell the GenMems when the Board is meeting. Kim Goldsworthy Posted February 23, 2011 at 09:28 PM Report Share Posted February 23, 2011 at 09:28 PM A motion was made and seconded from the floor (at a general membership meeting) that an executive meeting be held to address a question of procedure not contained in our by-laws. The meeting was held with a majority [of whom?] in attendance, a vote was taken to keep the procedure as is and to present the results to members at the next scheduled meeting. Was it required to notify the membership of the executive meeting in advance?Do we have to notify the membership of all executive meetings regardless of subject?"... that an executive meeting be held ..."Unclear.Two bodies, maybe three, could be the referent. The phrase "executive meeting" in some contexts could be referring to:(a.) executive board meeting(b.) executive committee meeting(c.) a meeting with the executive director(d.) a meeting held in executive session. If you are referring to a board or committee, then the next ambiguity is the word "membership" in your text."... Was it required to notify the membership of the executive meeting in advance?"Are you referring to:(a.) membership of the executive board?(b.) membership of the executive committee?(c.) membership of the general membership?Who must be notified? What body are you referring to?Mix and match the body being referred to who held the "executive meeting" with the body being referred to in the term "membership", and you have maybe NINE (3 x 3) possible "YES/NO" answers to your question.• If the "executive" was a "board", and if the "membership" was the "general membership", that answer will be "No."• If the "executive" was a "executive session" (a.k.a. secret session; closed session; in-camera session), and the "membership" was "general membership", then the answer is "Yes."And so on, for each possible permutation.
