Out of Order

In our meeting, the Treasurer gave her report and said she was resigning and gave a letter of resignation. The first vice gave her report and also resigned verbally and with a letter of resignation. Then the President stated to the unit that she was resigning and that she would turn in her stuff on Saturday. She then adjourned the meeting.

Question #1: Was it out of order for the President to adjourn the meeting after she resigned?

The President called an executive board meeting two weeks after she resigned and stated that it was for the purpose of discussing the letters of resignation of herself, the Treasurer and the First Vice.

Question #2: Was it out of order for the President to call this executive board meeting after she had resigned?

Question 1: The Treasurer, President, and VP stay in office until the resignations are accepted by whichever body is authorized to accept them (RONR pp. 277-280).

Question 2: See above answer. Also, Special Meetings cannot be called unless the bylaws specifically provide for them (RONR pp. 89-90).

Well, she was still President, if that's what you mean, since her resignation had not yet been accepted. I can't tell from the facts provided whether unilaterally adjourning the meeting at that time was proper, but the resignation has nothing to do with it. Was there further business to come before the assembly?

Question #2: Was it out of order for the President to call this executive board meeting after she had resigned?

Special meetings may only be called as provided for in your Bylaws, so I don't know whether it was in order, but again, the resignation has nothing to do with it. She's still your President until her resignation is accepted. Presumably, she wants to call a meeting for that very purpose.
